Terms of Use

These Terms of Use (“Terms”) govern your access to and use of gnomonplan.com and our intake application at start.gnomonplan.com (together, the “Site”), operated by Gnomon Planning, LLC (“Gnomon,” “we,” “us,” or “our”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Informational purpose; not advice

The Site and its content are provided for general informational purposes only. Nothing on the Site is tax, legal, accounting, investment, or financial advice, and it is not a substitute for personalized advice from a qualified professional who knows your situation. Reading the Site, contacting us, or submitting intake information does not create a client or advisory relationship. A relationship begins only when we and you sign a written engagement letter, and the services we provide are governed by that engagement letter.

Gnomon Planning, LLC provides tax preparation, tax planning, and financial planning. It does not currently offer investment advice or investment management services; references to “Gnomon Wealth” describe a service that is not yet available.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site. By using the Site, you represent that you meet these requirements.

3. Permitted use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own personal and internal informational purposes, subject to these Terms.

If you submit information through the Site (for example, in the Diagnostic intake), you agree that it is accurate and that you have the right to provide it. How we handle the information you submit is described in our Privacy Policy.

6. Payments

Fees for the Diagnostic and other services are described at the point of purchase or in your engagement letter. Payments are processed by our payment processor (Stripe), and by paying you also agree to the processor’s terms. Except as required by law or stated in your engagement letter, fees are non-refundable.

7. Intellectual property

The Site and its content — including text, graphics, logos, illustrations, and the look and feel — are owned by or licensed to Gnomon Planning, LLC and are protected by intellectual property laws. “Gnomon Planning,” the Gnomon logo, and related names and marks are trademarks or service marks of Gnomon Planning, LLC. You may not use them without our prior written permission.

8. Third-party services and links

The Site relies on and links to third-party services (such as Stripe, Google, and others) and to third-party websites we do not control. We are not responsible for their content, products, or practices, and your use of them is subject to their own terms.

9. Disclaimers

The Site is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that its content is complete or current.

10. Limitation of liability

To the fullest extent permitted by law, Gnomon Planning, LLC and its members, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of the Site. To the fullest extent permitted by law, our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars ($100). This section does not limit liability that cannot be limited under applicable law, and it does not affect the terms of any separate engagement letter, which governs our services.

11. Indemnification

You agree to indemnify and hold harmless Gnomon Planning, LLC and its members, employees, and contractors from any claims, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Site or your violation of these Terms.

12. Governing law and disputes

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. You agree that any dispute relating to the Site or these Terms will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to their jurisdiction.

13. Changes to the Site and these Terms

We may change, suspend, or discontinue any part of the Site at any time. We may also update these Terms from time to time; when we do, we will revise the “Last updated” date above. Your continued use of the Site after a change means you accept the updated Terms.

14. General

If any part of these Terms is found unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with our Privacy Policy and any engagement letter you sign, are the entire agreement between you and us regarding the Site.
